Cloud Health/Softcane (hereinafter together be referred to as “Website/Application") is operated by Softcane Solutions Private Limited (hereinafter to be referred as “Company” or “We” or “we” or “Our” or “our” or “Us” or “us”), a company duly incorporated under the provisions of the Companies Act, having its registered address at Plot 288, Sector 7, PNCTDA , Bhosari, Pune 411026, Maharashtra, India.

Use of the Website/Services is offered to You, subject to acceptance of all the terms, conditions and notices contained in these Terms including applicable policies which are incorporated herein by reference, along with any amendments / modifications made by Company at its sole discretion and posted on the Website, including by way of imposing an additional charge for access to or use of a service(s).

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" or “Your” shall mean any natural or legal person who has agreed to become a user on the Website/Services as per the terms laid down below.

Company shall not be required to notify You, of any changes made to the Terms and Conditions. The revised Terms shall be made available on the Website. Your use of the Website and the Services is subject to the most current version of the Terms made available on the Website, at the time of such use. You are requested to regularly visit the Website to view the most current Terms. It shall be Your responsibility to check the Terms periodically for changes. Company may require You to provide Your consent to the updated Terms in a specified manner prior to any further use of the Website and the Services, provided on the Website. If no such separate consent is sought, Your continued use of the Website, following changes to the Terms, will constitute Your express acceptance of those changes.

These Terms constitute a legal and binding contract between You on one part and the Company on the other Part as per the provisions of the Information Technology (Intermediaries guidelines) Rules, 2011 formulated under the Information Technology Act of 2000 and the Telemedicine Practice Guidelines (“TP Guidelines”).
• By accessing the Website, You agree to give Your consent to avail Telemedicine Services as per the terms provided hereunder or any other terms which may be applicable to You from time to time.
• The Platforms and Services are designed to assist users in storing, accessing, and reviewing patient health information such as vitals, medical reports, and records
• Users can provide feedback and healthcare services based on this data.
• Electronic record is generated by a computer system and does not require any physical or digital signatures.
• If you do not want to be bound by the Terms, do not access, browse or in any way transact on the website, or avail any services.
• While we strive to offer a functional and convenient service, we do not guarantee compatibility with all web browsers, uninterrupted service, or error-free content
• We are not responsible for service interruptions due to technical issues or network failures
• We reserve the right to modify, replace, or discontinue any part of the services or terms at any time
• It is the user’s responsibility to check for changes periodically
• The Platforms collect and store user information as per our Privacy Policy

• Users consent to the storage and use of their information by accessing the Platforms

• Company retains full ownership of the Cloud Health/Services/Softcane & other Documentation, including all intellectual property rights.
• The Customer is prohibited from modifying, reverse engineering, decompiling, disassembling, or creating derivative works based on the Software.
• We exclusively possess all proprietary information, processes, methodologies, software, web applications, and related intellectual property
• The Customer acknowledges that all trademarks, trade names, copyrights, patents, and other intellectual property rights linked to the Software/Softcane belong solely to us
• Additionally, any modifications, updates, or derivative works developed from the Software will also be owned by us.
• Furthermore, the user agrees not to disclose or distribute any confidential information or proprietary materials of Cloud Health/Softcane to company without obtaining prior written consent.

Use of the Website is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Thus, if you are a minor i.e. under the age of 18 years, you may use only with the involvement of a parent or guardian. The Company assumes no responsibility or liability for any misrepresentation of Your age.

As part of the registration process you will need to create an account, including a username and password. It is your responsibility to ensure that the information you provide is accurate, not misleading and secure. You shall be responsible for keeping your credentials in safe custody. We will not be liable for any losses or claims arising out of misuse of Platforms or Services accessed with your credentials. You cannot create an account or username and password using the names and information of another person or using words that are the trademarks or the property of another party (including ours), or vulgar, obscene or in any other way inappropriate. We reserve the right with or without notice to suspend or terminate any account in breach. Doctors represent and warrant that they are licensed medical practitioners registered with the Medical Council of India (MCI) and there are no legal or regulatory impediments which prevent you from practising medicine in India.

• You shall ensure that the Information provided by You is true, complete, accurate and up-to-date.
• Use of another User's Information for availing the services offered by Company is expressly prohibited.
• If You provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Company has the right to suspend or terminate your account.
• You will be responsible for maintaining the confidentiality of the Account Information and are fully responsible for all activities that occur under Your Account.
• Company cannot and will not be liable for any loss or damage arising from Your failure to comply with this Section. You may be held liable for losses incurred by Company or any other User of or visitor to the Website due to authorized or unauthorized use of Your Account as a result of Your failure in keeping Your Account Information secure and confidential or otherwise.

We grant the Customer a non-exclusive, non-transferable, limited license to use the Software and Documentation for their internal business operations during the subscription. The user may not sublicense, sell, rent, lease, or otherwise distribute the Software or any portion thereof to any third party. The user is licensed to use the Software until the Licence Expiry Date which can be extended by payment of the AMC.

The company reserves the right to suspend or terminate a user’s access to Cloud Health and Other services with or without notice in the following cases

• The user breaches any terms and conditions.
• The Company is unable to verify or authenticate any information provided by the user
• The company has reasonable grounds for suspecting any illegal, fraudulent, or abusive activity on the part of the user.
• If the user fails to fulfil payment obligations as per the agreed terms and conditions, the company reserves the right to suspend or terminate access to the Cloud Health and other services until outstanding payments are settled.
• On termination of an account due to the reasons mentioned herein, the user shall no longer have access to data, messages, files, and other material kept on the software by such user

Our services are entirely digital, and we do not ship or deliver any physical products.

We structure our payments into two stages: an initial fee charged prior to installation (e.g., installation fees) and the remaining balance due after the successful completion and your satisfaction with our services. Given this model, cancellations typically do not apply once the service process has begun. Furthermore, we do not offer refunds on any payments made.
